Reporting to the Head – Legal Services, the role holder will be responsible for assisting & supporting the Company Secretary by ensuring that the Bank & Staff adhere to all legal requirements and for providing legal support to Management, Business Units & Branch Network.
The Role
The successful jobholder will be expected to:
- Oversee the perfection of the Bank’s Securities – movable and immovable.
- Peruse & approve all Security instruments before & after registration/perfection.
- Provide legal opinions to the Management & the Branch Network on various legal matters affecting the Bank’s operations.
- Liaise with the Bank’s external Lawyers to ensure effective delivery of service.
- Draw up, review and register leases or licenses for the premises owned by the Bank or rented by the Bank.
- Draft, peruse & approve Service & other contracts entered by the Bank with its customers or with its suppliers.
- Draft Agreements & other legal documents as may be required by the Bank from time to time.
- Prepare standard legal documentation for use by the Bank.
- Represent the Bank’s interests in litigious disputes in courts, quasi-judicial tribunals, Alternative Dispute Resolution fora & other legal fora.
- Provide effective support to all stakeholders in the Bank’s recovery efforts including in litigious disputes.
- Peruse & interpret legislation & other legal instruments.
- Continuously evaluate & monitor agreements that the Bank is party to.
- Maintain & update a record of the Bank’s Securities and contracts.
- Maintain & update a record of the Bank’s Intellectual property.
- Offer good service to both internal and external customers and observe courtesy and timeliness at all times.
- Train staff on legal matters as required from time to time.
- Offer Company Secretarial support to the Co-op Bank Group entities when required to do so.
Qualifications, Skills & Attributes
The successful jobholder will be required to possess the following qualifications:
- A Bachelor of Laws (LL.B) Degree from a recognized University with a minimum of four years of legal experience ideally in a leading organization, with a proven track record in litigation management, contract handling and conveyance.
- Be an advocate of the High court.
- Knowledge of the provisions of the Banking Act, Central Bank of Kenya Act, the Capital Markets Act & the Co-operative Societies Act etc.
- Fully aware of all the relevant laws & statutes affecting the Bank’s Operations including knowledge of developments in legal practice & statutory amendments that are likely to have an impact on the Bank’s Operations.
- Strong conceptual, analytical, documentation and presentation skills with the ability to influence and negotiate at different levels.
